Legal

Terms of service.

Last updated: June 15, 2026. These terms — including our Acceptable Use Policy — govern your access to and use of the Yexa Pro platform.

1. Definitions

  • «Platform»: yexa.pro, the dashboard, and Yexa Pro APIs.
  • «Customer» or «you»: the person or organization registered or using the Platform.
  • «Service»: WhatsApp Business management including inbox, campaigns, automation, and AI.
  • «Content»: any text, images, templates, or data you upload or send via the Platform.
  • «Meta»: Meta Platforms, Inc. and its services including WhatsApp Business API.

2. Acceptance and eligibility

By creating an account or using the Platform, you agree to these Terms, the Privacy Policy, and supplements (including Enterprise DPA). If accepting on behalf of an organization, you represent authority to bind it.

You must be 18+ or legally authorized. The Service is for business and professional use.

3. Service description

Yexa Pro provides multi-tenant SaaS for WhatsApp Business via Meta's official API. Features per plan may include unified inbox, contact management, broadcast campaigns, approved templates, workflow automation, AI suggestions, analytics, and team RBAC.

We may add, modify, or discontinue features with 30 days notice for material changes. We do not guarantee uninterrupted Meta/WhatsApp availability — third-party outages are outside our direct control.

4. Registration and account

  • Provide accurate, current information and keep it updated.
  • You are responsible for credential security and all activity under your account.
  • Notify us immediately of unauthorized use at support@yexa.pro.
  • We may suspend or terminate fake or violating accounts without notice.
  • One account per organization unless otherwise agreed in writing.

5. Subscription, billing, and wallet

Plans are monthly or annual with limits on users, numbers, and messages per /pricing.

Subscriptions auto-renew unless cancelled before the billing cycle ends in account settings.

WhatsApp messages consume plan quota and/or wallet balance per plan rates shown in the dashboard.

Prices in EGP unless stated otherwise. Applicable taxes are added per law.

No refunds for partial periods or unused balance except where required by law or our billing error.

Late payment may lead to suspension after 7 days notice.

6. Acceptable Use Policy (AUP)

You must use the Platform lawfully and ethically. You and your account users must NOT:

  • Send spam or bulk unsolicited messages without explicit prior recipient opt-in.
  • Send fraudulent, misleading, abusive, racist, pornographic, violent, or hate-inciting content.
  • Impersonate any person or entity without authorization.
  • Unlawfully scrape phone numbers or conversations.
  • Manipulate delivery/read rates or abuse API with bots.
  • Send marketing outside permitted WhatsApp windows or without approved templates where required.
  • Resell the Service without an authorized partner agreement.
  • Attempt to hack, reverse engineer, or bypass usage and security limits.
  • Use the Service for illegal activities: gambling, weapons, drugs, or activities prohibited in Saudi law or recipient countries.
  • Send regulated medical, financial, or legal advice without proper licenses.
  • You are responsible for compliance with Saudi/GCC laws and each recipient's jurisdiction. We may suspend accounts immediately for material violations.

7. Meta and WhatsApp compliance

Meta suspension or restriction does not create liability on our part. We assist within technical means to restore compliance.

  • Comply with WhatsApp Business Policy, Commerce Policy, and Meta Platform Terms.
  • Obtain clear opt-in before marketing and retain consent records.
  • Use only approved templates for messages outside the 24-hour window.
  • Honor opt-out requests immediately.
  • Do not message numbers on block/DNC lists where applicable.
  • Report Meta restrictions and cooperate on content removal.

8. Content and intellectual property

You retain ownership of content and data you upload. You grant us a limited, non-exclusive license to host, process, and transmit content solely to deliver the Service.

Yexa Pro, its brand, UI, code, and marketing content are ours or our licensors'. Copying or distribution without written permission is prohibited.

IP infringement reports are reviewed and addressed per applicable law.

9. Confidentiality

We treat your data and conversations as confidential, accessing them only for support with permission, legal compliance, or platform security. Staff are bound by confidentiality agreements.

10. Availability and SLA

We target 99.5% monthly uptime excluding announced maintenance and force majeure. Financial SLA credits apply only under written Enterprise agreements.

Planned maintenance is announced via email when possible.

11. Suspension and termination

  • You may cancel anytime from the dashboard.
  • We may suspend or terminate immediately for Terms violations, non-payment, or API abuse.
  • On termination: access stops; data deleted or returned per Privacy Policy within 90 days unless earlier requested.
  • IP, liability, and indemnity provisions survive termination.

12. Disclaimer

The Service is provided «as is» and «as available» without express or implied warranties including fitness for a particular purpose or error-free operation.

We do not guarantee specific business outcomes (sales, open rates, conversions). You are responsible for your marketing strategy.

13. Limitation of liability

To the maximum extent permitted by Saudi law, we are not liable for indirect, consequential, lost profits, or data loss arising from Service use.

Our total contractual liability for all claims in 12 months shall not exceed total fees you paid in that period.

Limits do not apply to gross negligence, fraud, or confidentiality breaches where limitation is prohibited.

14. Indemnification

You agree to indemnify and defend us against claims, fines, or damages arising from: (a) your content or messages; (b) your violation of these Terms or Meta policies; (c) your violation of third-party rights or your recipients' data protection laws.

15. Force majeure

We are not liable for delay or failure due to circumstances beyond reasonable control: natural disasters, war, widespread internet outage, government action, or Meta/AWS service interruption.

16. Governing law and disputes

These Terms are governed by the laws of Saudi Arabia.

Disputes should be resolved amicably within 30 days of notice. Failing that, Riyadh courts have jurisdiction.

Enterprise customers: arbitration or alternate jurisdiction may apply under signed agreements.

17. Amendments

We may update these Terms. Material changes are notified 30 days in advance. Continued use after effective date constitutes acceptance. If you disagree, cancel before the effective date.
